The head of Leidos' defense group said today Gibbs & Cox, which Leidos has agreed to acquire, will operate as a wholly owned subsidiary.

In an interview with Inside Defense, Gerry Fasano said Leidos will bring scale to Gibbs & Cox, which specializes in naval engineering and design.

"A company like Leidos could bring the stability of our balance sheet, the addition of thousands of systems engineers as well as a nice maritime business, and they viewed that as all accelerants to achieving scale," he said.

Once the transaction closes, Fasano said Gibbs & Cox will "operate as a wholly owned subsidiary of Leidos, and then we're going to integrate our maritime business into it."

In sum, the combined organization will have more than 1,000 employees, he said.

Fasano said the integration process will be similar to the approach Leidos took after acquiring Dynetics.

"We think by integrating our business into Gibbs & Cox, we'll get that same boost," he said.
